Reinstating a company at CIPC
How to reinstate a company
Reinstating a company at the Companies and Intellectual Property Commission (CIPC) in South Africa is a crucial process for entities that have been deregistered due to non-compliance or inactivity. The deregistration often occurs when a company fails to file annual returns or meet other statutory obligations, effectively removing its legal status. To reinstate the company, the process begins with confirming the reason for deregistration and gathering the required documentation, which includes proof of continued business operations or an affidavit explaining the reason for reinstatement. Additionally, the company must settle any outstanding annual return fees, penalties, and administrative costs. A certified copy of the company’s Memorandum of Incorporation (MOI) and a letter from the South African Revenue Service (SARS) confirming its tax compliance may also be required. The applicant must then submit a formal request for reinstatement to the CIPC, often accompanied by a CK2 or CoR39 form to update company details. Once submitted, the CIPC reviews the application and, upon approval, restores the company’s registration status on the database, allowing it to legally operate again. It is essential for businesses to engage in this process promptly to avoid complications such as asset forfeiture, disruption in operations, or legal challenges. Consulting a professional service provider or legal expert can help ensure the process is completed efficiently and in compliance with CIPC regulations.

Please note
After reinstating a company, the company status shows as “re instatement process”. After this, all the outstanding annual returns have to be submitted to CIPC. Also, if the beneficial ownership details haven’t been submitted, this has to be done immediately. Only after this, the company status will show “In business” again.
